Business registration is a mandatory activity for businesses that need to register their operations. The relevant state agency will issue a business registration form to companies that are eligible to operate. Therefore, it is necessary to unify the form of the certificate of the competent authority. Depending on the type of registered business, the certificate forms issued have different forms and contents. However, they all have common values ​​in granting state certificates to manage the business activities of the enterprise.

1. Business registration forms in 2024

The business registration form has a certain value for the enterprise. Currently, document management can be done in printed or electronic form. Although the forms of existence are different, the value of the certificates is the same.

Enterprises are only allowed to operate after receiving a “Business Registration Certificate”. Therefore, before that, enterprises need to submit documents and complete the procedure for registering business information. In addition, depending on the type of business, the information presented in the document will be different. 2. Elements to identify a business registration certificate issued by a competent authority

A business registration certificate can exist in two forms: A legal document in paper form or an electronic document. Both forms apply the same rules as follows:

The back side contains full information about the registered company with a full seal, signature of the competent authority, place of issue, country name and currency. With legal documents in paper form, there will be a raised and embossed design on the back.

Each enterprise will have its own enterprise code consisting of 10 consecutive digits.

The enterprise name will include two parts: Type and proper name of the company in Vietnamese, English, and abbreviation if any. There is detailed and accurate information about the company’s head office.

This may include contact information such as: Email, website, phone.

The registered capital must be clearly stated in Vietnamese. In particular, corporations will have: total number of shares, par value per share.

Full name and basic information of the legal representative of the company and the company owner, including: date of birth, full name, job title, ID card number or citizen identification card, passport, place of permanent residence registration.

A business registration certificate is only issued by a state administrative agency that is a competent management agency. This regulation aims to record the most general information about the type of business as well as the way the business operates. From there, the business leader manages the business in business activities, complying with the law.

Applying Article 28 of the Enterprise Law 2020, the business registration certificate includes the following main contents:

Business code:

Each business will have a separate code, which is performed during the identification process, along with the rights and obligations of the company. This code will be entered into the Government’s e-commerce information system. Commercial activities or state management are also associated with this rule.

It plays a role in supporting competent authorities in managing violations. Supporting appraisal and helping to distinguish any other business activities. From there, it becomes separate information associated with each company.

Business name:

Business name must be set according to legal requirements. It is also written in 3 forms: Vietnamese name, English name, abbreviation (if any).

Address information, contact information:

Detailed information about the head office

Contact methods such as: Hotline phone number, email, official website and some other basic information.

Information about business capital:

The charter capital when establishing the company is converted to VND and information about investment capital for private enterprises.

Full name of the business representative

Depending on the type of company, there are regulations on the number of representatives and the election method. The representative represents the company and is responsible for the business activities of the company. You will need to provide the following information:

If you are the legal representative of a limited liability company, joint stock company; a partner of a partnership; or the owner of a private enterprise, you need to provide your full name, contact address, nationality, and legal document number.

If you are a member of a limited liability company, you must provide your full name, contact address, nationality, legal document number, name, business registration number and registered office address.

4. Legal regulations on business registration form

Conditions for granting a Business Registration Certificate

Applicable to Article 27 of the Enterprise Law 2020, the business registration form will be granted to companies that meet the following conditions:

Prepare documents and submit them to the competent authority.

First, fill out a valid business registration form and submit it to the competent authority. This helps companies reflect the needs of the business they want to operate. At the same time, you should prepare relevant documents to submit with your application, including:

  • A copy of the business owner’s ID card.
  • Information of members during the business establishment phase.
  • Charter capital

Depending on the type of business registration, these documents may vary in practice. In order to receive a certificate from the competent authority, it is necessary to ensure that the elements in the application are complete and valid.

Documents required for business registration:

Eligibility is determined by request and clear relevant information is provided for each item. Please ensure that the content and format are accurate and complete as required by law.

The business registration must be on the permitted list. That is, the business sector that the subject is allowed to conduct, with or without conditions. If prohibited, the individual/company will not be granted a business registration certificate.

The legal name of the company consists of two parts combining the content of the type of business and the company’s own name.

Pay the prescribed fee: After completing the application, the individual/company must pay the full business registration fee/cost to the competent authority. This is the unit’s duty as required by the national government.

You can choose one of two payment methods: bank transfer or bank transfer. The specific method and form will be instructed when you complete the procedure at the registration office.

Finally, the competent authority will check the validity and decide whether to issue a business registration certificate or not. This is also the result of the process of processing the application in an orderly and procedural manner.

  • In case the application is valid, the enterprise/individual can come directly to receive the license after 3 working days.
  • In case the application is invalid, it is necessary to indicate the reasons and instruct the application to be adjusted accordingly.

Issuance and revocation of Business Registration Certificates

Applying the provisions of Articles 14 and 15 of Decree 01/2021/ND-CP, the competent authority to issue and revoke Business Registration Certificates is the Business Registration Office under the Department of Planning and Investment.

In case of cancellation of business registration

The Business Registration Certificate will be revoked in the following cases:

  • The content declared in the company’s registration dossier is untrue;
  • The enterprise is established by persons prohibited from establishing enterprises under Clause 2, Article 17 of the Enterprise Law 2020
  • The enterprise ceases operations within one year without notifying the business registration authority and the tax authority;
  • The enterprise fails to submit a report as prescribed in Point c, Clause 1, Article 216 of the Enterprise Law 2020 to the Business
  • Registration Authority within 06 months from the deadline for submitting the report or receiving a written request;
  • Other cases by court order, at the request of competent authorities as prescribed by law.

5. Procedure for changing the contents of the business registration certificate

In case the enterprise changes the contents of the business registration certificate, it must register with the business registration authority.

Time limit for registration of changes:

The enterprise is responsible for registering changes to the contents of the business registration certificate within 10 days from the date of change.

Time limit for settlement:

Within 3 working days from the date of receipt of the dossier, the business registration authority will check the validity of the dossier and issue a new business registration certificate. In case the dossier is invalid, the business registration authority must notify the company in writing of the contents that need to be changed or supplemented.

In case of refusal to issue a new business registration, the company must be notified in writing of the reason.

Registration procedures for changes:

The registration procedures for changes to the contents of the Business Registration Certificate, depending on each specific case, are specified in Articles 47 to 55 and Articles 61 to 64 of Decree 01/2021/ND-CP.

The registration of changes to the contents of the Business Registration Certificate according to the decision of the Court or Arbitration is carried out according to the following order and procedures:

The person registering to change the contents of the Business Registration Certificate must submit the registration dossier to the relevant business registration authority within 15 days from the date of the effective judgment or decision of the Court or the effective arbitration award.

The registration dossier must be accompanied by a copy of the final court judgment, the final arbitration award or the final arbitration award.

In case the dossier is invalid, the Trade Registration Authority must notify the applicant in writing of the contents that need to be changed or supplemented.

In case of refusal to issue a new Business Registration Certificate, the applicant must be notified in writing and clearly state the reasons.
