According to the provisions of the Enterprise Law issued in 2020, enterprises have the right to add or remove business fields to suit the development needs of the national economic market. In addition, when changing or adding business fields, it is necessary to notify the Department of Planning and Investment where the enterprise is registered. 1. What is understood as a business line?

Currently, there are no regulations on the definition of business fields and lines. In addition, Decision 27/2018/QD-TTg has regulated the system of economic fields in Vietnam, and issued an Appendix stipulating the list of business line codes.

In addition, according to Clause 1 and Clause 2, Article 7 of the Enterprise Law 2020, enterprises have the right to:

  • Freely trade in fields and occupations that are not prohibited by law.
  • Autonomous trading and choosing the form of business organization; proactively selecting industries, occupations, locations, and forms of business; proactively adjusting the scale and business industries and occupations.
  • Based on the above provisions, it can be seen that, according to Decision 27/2018/QD-TTg, units can freely choose one of the business industries. When there is a need to expand development, the unit has the right to change and supplement business industries according to the provisions of law.

2. What documents are required for the dossier to supplement business industries?

During the course of business operations, with the purpose of expanding the business scale, enterprises need to prepare complete documents to prepare the dossier to supplement business industries as below:

Dossier for changing/adding business lines of a 2-member LLC:

  • 01 information on changing business registration content according to the form prescribed by the Enterprise Law. When drafting documents, if this information form is not available, please contact Viet My Accounting for provision.
  • 01 Decision and copy of the minutes of the Board of Members’ meeting clearly stating the content of the change in the Company Charter.
  • 01 Copy of documents: Investment Certificate, Tax Registration Certificate, Additional Certificate of updating business registration information (In case the enterprise has been granted the above documents or documents with equivalent value).
  • 01 Authorization letter (If the individual or enterprise authorizes an organization to perform);
  • A valid copy of one of the personal identification documents of the person authorized to carry out the procedure (if any).

Documents for supplementing the business lines of the Joint Stock Company:

  • 01 notice of change of business lines according to the prescribed form (01 copy).
  • 01 Decision and copy of the minutes of the General Meeting of Shareholders stating the content of the change in the Company Charter.
  • 01 Copy of documents: Investment Certificate, Tax Registration Certificate, Additional Business Registration Information Update (In case the unit has been granted the above documents or equivalent documents)
  • 01 Authorization Letter (If an individual or organization authorizes an organization to perform) with a valid copy of one of the personal identification documents of the person authorized to perform the document (if any)

Documents to supplement business lines of a 1-member LLC:

  • 01 notice of supplementing business lines according to the prescribed form (01 copy).
  • 01 Decision and copy of the meeting minutes of the business owner stating the changes in the Enterprise Charter
  • 01 Copy of documents: Investment Certificate, Tax Registration Certificate, Business Registration Information Update Certificate (In case the enterprise has been granted the above documents or documents of equivalent value)
  • 01 Authorization Letter (If the individual or unit authorizes an organization to perform)

3. How is the procedure for adding a business line carried out?

Procedures for changing and adding business lines include the following steps:

Step 1: Drafting documents to change and add business lines

After determining the industry that needs to be changed and added, the enterprise needs to prepare the necessary documents to make the application.

Step 2: Submitting documents

The representative of the enterprise or the authorized person submits the documents to the Business Registration Office of the Department of Planning and Investment of the province where the enterprise is headquartered.

Step 3: Receiving documents and making corrections if necessary

The staff of the Business Registration Office will receive the documents and valid documents. In case the documents are correct and complete, the staff receiving the documents will make changes and add business lines for the company. If the documents are not complete, the staff will return the documents and instruct the applicant to supplement the missing documents according to regulations.

Step 4: Receive results

After making changes to business lines, the officer receiving the documents will write a receipt and schedule a time to return the results. The enterprise will receive a Certificate of Confirmation of Changes in Business Registration Content.

4. Instructions on how to submit online application when adding a business line

Step 1: Scan all documents and name the file according to the content of the business line registration

Step 2: Access the website dangkykinhdoanh.gov.vn – register online – log in to your account – click on the business registration section

Step 3: Click to submit the application using the business registration account – click next => Click to register to change the business registration content – click next;

Step 4: Press the business code – press search to display the business name – press next => Select the change notification field – press next => Select the types of documents to submit – press next

Step 5: Go to the business line field => Press the lines you need to add in turn – Press save (for lines with details)

Step 6: After selecting and saving all the lines that need to be added – fill in the information in the contact person and signatory fields (information of the person submitting the application online)

Step 7: Press on the attached document – Upload the scanned documents from the beginning and save

After uploading all the files, press return – press prepare, the screen will appear, you fill in the number according to the instructions – press confirm

Step 8: Press the authentication number with the business registration account => Press I hereby guarantee and confirm

Thus, you have completed the online application submission, when the online application is completed, the room The business registration office will send you a receipt to your email with an appointment date for the results of the application processing. You just need to check your email and complete the procedure.

Note:

  • If the information field is red, the business sector has been deleted according to Decision No. 27/2018/QD-TTg, green is the industry that has been changed according to this new decision. Therefore, the unit needs to find other industry codes in Decision No. 27/2018/QD-TTg for the deleted industries or correct the industries that have been changed in wording.

5. Cost of changing company business lines in 2024

Usually, the fee for changing business lines will include 2 main fees: fees paid to state agencies and service fees.

Fees for additional business fields at State agencies

Pursuant to Article 33 of the Law on Enterprises and Article 55 of Decree No. 78/2015/ND-CP, cases where enterprises must pay fees for publishing business registration contents include:

  • Registering business establishment
  • Registering changes to the contents of the Business Registration Certificate
  • Notifying changes to business registration contents related to the contents of business fields, business lines, founding shareholders and shareholders who are foreign investors
  • The fee that organizations must pay when publishing on the National Information Portal – Department of Planning and Investment is 300,000 VND

Fees for suppliers to add and change business lines

State fees when submitting documents to change business fields, fees for publishing changes to company registration are: 100,000 VND.
